Terms of Service

These terms of service apply to the use of Marketplace Invoice (accessible at www.marketplaceinvoice.com), an app that automatically turns every paid order in your Shopify store into a VAT-compliant invoice. By using our service, you agree to these terms.

1. Service description

Marketplace Invoice is an app you install from the Shopify App Store that runs inside your Shopify admin. For every paid order we create an invoice from the order data in your store, link it to the order in Shopify with an invoice number tag, and email it to your customer when you have that turned on. A refund produces a credit note. We use the Shopify API to do this.

2. Account and installation

  • You install the app from the Shopify App Store. That creates your account, so there is nothing separate to sign up for.
  • The details you enter, such as your company name, address, registration number and VAT number, must be accurate and complete. They appear on your invoices.
  • You are responsible for everything that happens through your store and your account.
  • If you still have a web account with a password, keep your login credentials confidential and tell us immediately about any unauthorized use.

3. Pricing and payment

Marketplace Invoice has a free plan and three paid plans. The number of automated invoices per month decides which plan you need:

  • For the Shopify app, all charges run through Shopify's billing. You approve the amount in Shopify and it appears on your own Shopify invoice. We never see or store your payment details.
  • Refunds of those charges follow Shopify's rules for app charges. We can raise a request on your behalf, but the decision is Shopify's.
  • Your first paid plan starts with a 14-day free trial. Nothing is charged before that period ends, and you can stop during the trial at no cost.
  • You can change or cancel your plan at any time in the Billing tab of the app. Cancelling puts you back on Free and your invoices stay where they are.
  • You pay monthly, or yearly at ten times the monthly price, so two months are free.
  • The Free plan includes unlimited manual invoicing: you create, download and send invoices yourself, subject to fair use. Automation, meaning we create the invoice, link it to the order and email your customer, requires a paid plan or an active trial. We may contact you about usage that materially exceeds normal seller volumes.
  • If you still have a web account from before the Shopify app, it is billed through Stripe in euros, on the same plans.
  • All prices are exclusive of VAT, unless otherwise stated.
  • We reserve the right to adjust prices. Existing subscribers will be notified at least 30 days in advance by email.

4. Service availability

We strive for high availability of our service but cannot guarantee 100% uptime. The service is provided on a best effort basis. We are not liable for damages resulting from interruptions or malfunctions, whether in our service, in the Shopify API, or in other third-party services. Scheduled maintenance will be announced in advance where possible.

5. The connection to your store

To use the service you install the app in your Shopify store. That install grants us access to the data the app needs: your orders, the customer details on them, and your shop details. You revoke that access by uninstalling the app.

The access token Shopify issues is stored encrypted (AES-256-GCM) and used exclusively to retrieve orders and deliver invoices on your behalf. What happens to your data after you uninstall is set out in our privacy policy.

6. Quick Invoice and third-party AI processing

The Quick Invoice feature lets you create an invoice in a web account by uploading a document (a screenshot, PDF or CSV). When you use the scan feature, the content of your uploaded document is sent to Anthropic (anthropic.com) for automated data extraction.

Only Quick Invoice uses third-party AI processing.

Everything else, including the automatic invoicing in the Shopify app, is processed entirely on our own servers, without AI and without third-party data processing.

  • By using the Quick Invoice scan feature, you consent to your uploaded document data being processed by Anthropic under their commercial API terms.
  • Anthropic does not use data submitted via their commercial API for model training.
  • Anthropic may retain data for up to 30 days for trust and safety purposes.
  • You are responsible for ensuring that you have the right to upload and process the documents you submit.
  • You always review and approve extracted data before an invoice is generated.
  • The scan feature is optional. You can always enter invoice data manually.

7. Liability

  • Marketplace Invoice is not liable for the accuracy and completeness of generated invoices. You remain responsible for verifying the correctness of your invoices.
  • Our total liability is limited to the amount you have paid us in the preceding 12 months.
  • We are not liable for indirect damages, consequential damages, lost profits, or missed savings.
  • We are not liable for damages resulting from the unavailability of or changes to the Shopify API or any other third-party service.

8. Acceptable use

  • The service may only be used for invoicing genuine sales.
  • You may not use the service to generate fraudulent, misleading, or otherwise unlawful invoices.
  • You may not attempt to circumvent rate limits, security measures, or other technical safeguards of our service or of the Shopify API.
  • You may not use the service in any way that could damage, disable, or impair it or interfere with other users.

9. Cancellation and termination

  • You can stop at any time: uninstall the app under Apps in your Shopify admin, or cancel your plan in the Billing tab.
  • After uninstalling, automation stops. The invoice number tags on your orders stay. The invoice PDFs live in the app, so download the ones you need before you uninstall.
  • We reserve the right to suspend or terminate accounts in cases of abuse or violation of these terms.
  • After termination, your data is handled as described in our privacy policy.

10. Intellectual property

All intellectual property rights to the service, including the software, design, and documentation, belong to Marketplace Invoice. You are granted a non-exclusive, non-transferable right of use for the duration of your subscription. The invoices you generate are and remain your property.

11. Data processing

In providing the service, we act as a data processor on your behalf with regard to your end-customer personal data (such as names and addresses on invoices). We process this data solely to create and deliver invoices as instructed by you. Our processing complies with the requirements of GDPR Article 28. 12. Force majeure

Neither party shall be liable for any failure or delay in performing its obligations under these terms where such failure or delay results from circumstances beyond reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, Shopify API disruptions, pandemics, or other force majeure events.

13. Governing law and disputes

These terms are governed by Dutch law. Disputes arising from or relating to these terms will be submitted to the competent court in the Netherlands. The parties will first attempt to resolve any dispute by mutual consultation before initiating legal proceedings.

14. Changes to these terms

We reserve the right to modify these terms. In the event of substantial changes, we will notify you at least 30 days in advance by email. If you do not agree with the modified terms, you can stop using the service. Continued use after the changes take effect constitutes acceptance of the modified terms.
